Welcome to DigitalShelf ("the Platform"), a service that allows digital content creators to open stores and sell their products directly to customers. By using the Platform, you agree to the following terms and conditions. Please read them carefully.

1. User Account and Eligibility

1.1 Account Creation

To become a seller on the Platform, users must verify their email address and select from predefined product categories. Sellers are required to confirm that they own the rights to the digital content being sold and that the content complies with copyright and legal requirements.

1.2 Moderator Oversight

All new seller accounts will be subject to supervision by the Platform moderators. Sellers are allowed to list and sell products without prior approval, but the Platform reserves the right to investigate accounts for any suspected illegal activities or violations of these terms.

1.3 Account Suspension or Termination

The Platform retains the right to suspend or permanently shut down any seller’s account if it is found to be involved in illegal activities, scams, or repeated violations of the terms. If a store is closed, sellers may appeal by replying to the notification email explaining the reasons for the account closure.

1.4 User Reporting

Users may report suspicious or illegal activity by sending an email to [email protected] . The Platform will investigate such reports, and if necessary, take appropriate action, including but not limited to account suspension or content removal.

2. Content Guidelines

2.1 Prohibited Content

Sellers are prohibited from offering the following types of content:

Adult or explicit content

Content that violates intellectual property rights, including copyrighted material without proper authorization

Content that is illegal under applicable laws or regulations

2.2 Content Ownership and Responsibility

Sellers must confirm they own or have the legal right to sell the digital products listed. The Platform is not responsible for verifying ownership but will act on any reported copyright violations by removing content and potentially suspending the seller’s account.

2.3 Reporting Inappropriate Content

If users or third parties believe a product violates these content guidelines, they may report it by sending an email to [insert email address]. The Platform will investigate all claims and take action as necessary.

3. Fees and Pricing

3.1 Free Use for Now

The Platform is currently free for all users, meaning there are no transaction fees imposed by the Platform on sales. However, sellers should be aware that third-party payment processors such as PayPal or Stripe may charge transaction fees as per their terms.

3.2 Changes to Fees

The Platform reserves the right to introduce transaction fees or other paid features in the future. If this occurs, users will be notified at least 30 days in advance of the change. Continued use of the Platform following such changes constitutes acceptance of the new terms.

4. Refunds and Cancellations

4.1 Seller Responsibility

All refunds, cancellations, and returns are the sole responsibility of the seller. Sellers may establish their own refund and cancellation policies, which should be clearly stated to buyers. Buyers agree to accept these terms when making a purchase.

4.2 Platform's Role in Disputes

While the Platform is not responsible for handling refunds, cancellations, or disputes, it reserves the right to mediate disputes between buyers and sellers in special cases where a user contacts support. However, the final decision regarding refunds or cancellations lies with the seller.

4.3 Excessive Complaints

If a store receives multiple complaints or reports of failure to honor refund and cancellation policies, the Platform reserves the right to temporarily or permanently shut down the seller's account after investigation.

4.4 No Platform Liability for Payment Issues

The Platform is not responsible for issues that arise from third-party payment services such as PayPal or Stripe, including, but not limited to, failed transactions, payment disputes, or service downtimes. Sellers and buyers must resolve payment-related issues directly with their payment processor.

5. Liability and Warranties

5.1 Seller Liability

Sellers are fully responsible for the digital products they offer, including ensuring their legality and quality. The Platform provides no warranty or guarantee regarding the content sold by any seller on the Platform.

5.2 Platform Disclaimer

The Platform is provided "as is" without any warranties, express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Platform makes no guarantees regarding the availability, reliability, or functionality of the service, including any potential technical issues, outages, or downtime.

5.3 Limitation of Liability

In no event shall the Platform or its owners, operators, employees, or affiliates be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Platform. This includes, but is not limited to, loss of revenue, profits, data, or goodwill.

6. Privacy and Data Protection

6.1 Data Collection

By using the Platform, users agree to the collection of certain personal information necessary to operate their accounts and facilitate transactions. This may include names, email addresses, and payment details.

6.2 Data Use and Sharing

The Platform will not share user data with third parties except as necessary to process payments or comply with legal obligations. Sellers are responsible for ensuring they comply with applicable data protection laws, especially regarding customer data collected through transactions.

6.3 Data Security

The Platform takes reasonable steps to protect user data from unauthorized access, loss, or misuse. However, no system is completely secure, and the Platform cannot guarantee the absolute security of user information.

7. Changes to Terms and Conditions

7.1 Modifications to the Terms

The Platform reserves the right to update or modify these Terms and Conditions at any time. Users will be notified of any significant changes through email or in-app notifications. Continued use of the Platform following such modifications constitutes acceptance of the new terms.

7.2 Notice Period for Major Changes

In cases where significant changes, such as the introduction of fees, are made to the terms, users will be given at least 30 days' notice prior to the new terms taking effect.

8.1 Platform's Right to Terminate

The Platform reserves the right to terminate the service, or any part of the service, at its discretion, with or without prior notice. This includes the termination of specific features or the entire platform.

8.2 User’s Right to Terminate

Users may terminate their use of the Platform at any time by closing their account. Upon termination, users will no longer have access to their store, and all associated data may be deleted.

9. Intellectual Property

9.1 Seller Content

Sellers retain ownership of their digital content. By listing content for sale on the Platform, sellers grant the Platform a non-exclusive, worldwide license to use the content for the purposes of operating the service (e.g., displaying listings to potential buyers).

9.2 Platform Content

All design elements, logos, and trademarks associated with the Platform are the intellectual property of the Platform and may not be used by sellers or users without express written permission.
